By accessing or using Fulplate's website, mobile application, or services ("Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our Services.

We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. We will notify registered users of material changes via email.

Fulplate is a technology platform that enables food service businesses ("Tenants") to manage online ordering, subscriptions, catering, and customer engagement. Our Services include:

• Providing the technology infrastructure for Tenant websites and ordering systems
• Processing and routing orders to the appropriate Tenant
• Payment processing and transaction management
• Customer account management across Tenant services
• Communication delivery (email, SMS, WhatsApp) on behalf of Tenants
• Platform-wide analytics, fraud prevention, and quality assurance

All orders are subject to availability. We reserve the right to refuse or cancel any order at our discretion, including due to product unavailability, pricing errors, or suspected fraud.

When creating an account or placing an order, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access
• Not use the Services for unlawful or fraudulent purposes

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or place an order.

Pricing: All prices are displayed in the local currency and include applicable taxes unless otherwise stated. We reserve the right to modify prices at any time without prior notice. Price changes do not affect orders already confirmed.

Payment: Payment is due at the time of order. We accept payment methods as displayed at checkout. All transactions are processed securely; we do not store credit/debit card details on our servers.

Order Confirmation: Your order is confirmed only when you receive an order confirmation email/notification with an order number. A confirmation does not guarantee delivery if circumstances beyond our control arise.

Cancellations: Orders may be cancelled within a reasonable time before preparation begins. Once food preparation has started, cancellations may not be possible.

Refunds: Refunds are considered on a case-by-case basis for:

• Orders not delivered within the estimated timeframe
• Incorrect items received
• Quality issues reported within 2 hours of delivery/pickup

Subscriptions: Weekly subscription cancellations must be made at least 48 hours before the next delivery cycle. Refunds for partial weeks are not provided.

Delivery times are estimates and may vary due to traffic, weather, or order volume. We are not liable for delays caused by factors beyond our control.

You are responsible for providing accurate delivery information. Orders delivered to incorrect addresses due to customer error are non-refundable.

For pickup orders, items must be collected within the specified pickup window. Uncollected orders may be forfeited without refund.

We take food safety seriously and adhere to all applicable food safety regulations. However:

• Our products may contain or come into contact with common allergens including nuts, dairy, gluten, soy, eggs, and shellfish
• While we display allergen information, we cannot guarantee a completely allergen-free environment
• Customers with severe allergies should contact us directly before ordering
• Nutritional information is approximate and may vary

By placing an order, you acknowledge that you have reviewed allergen information and accept the associated risks.

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Submit false, misleading, or fraudulent orders or reviews
• Resell products purchased through our Services without authorization
• Scrape, copy, or redistribute content without written permission

All content on our platform — including logos, images, text, recipes, and design — is the property of Fulplate or its licensors and is protected by copyright and trademark laws.

You may not reproduce, distribute, or create derivative works from our content without express written permission.

The Fulplate platform, its technology, design, and infrastructure are the exclusive intellectual property of Fulplate. Tenant content remains the property of the respective Tenant.

By using the Fulplate platform (directly or through a Tenant), you acknowledge and agree that Fulplate may process data for the following platform-level purposes:

• Service Improvement: Analyzing aggregated, anonymized usage patterns to improve platform features, performance, and reliability
• Quality Benchmarking: Using anonymized operational metrics (delivery times, order volumes, satisfaction trends) to establish and maintain quality standards across the platform
• Fraud & Abuse Prevention: Cross-referencing transaction patterns across the platform to detect, prevent, and respond to fraudulent activity, chargebacks, and policy abuse
• Product Development: Developing new platform features, tools, and integrations informed by aggregated usage data
• Compliance & Reporting: Generating anonymized, aggregated reports for regulatory compliance, financial reconciliation, and platform governance
• Machine Learning & AI: Training and improving AI models using anonymized, aggregated data to enhance recommendations, search, and operational efficiency

Important safeguards:

• Individual customer data is never shared across Tenants
• All platform-level analytics use anonymized and aggregated data only
• Personal data is never sold to third parties
• You retain all rights under GDPR, CCPA, and other applicable privacy laws regardless of platform-level processing

To the maximum extent permitted by law, Fulplate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Our total liability for any claim arising from these Terms or Services shall not exceed the amount paid by you for the specific order giving rise to the claim.

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including your rights under GDPR, CCPA, and other applicable privacy laws.

These Terms are governed by and construed in accordance with applicable local laws. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be submitted to mediation or binding arbitration.
